Exclusives: Pacific Ecotech prefers to enter into exclusive area agreements with parties established in particular areas of the world. In most cases an "area" will be co-extensive with a country. In certain larger countries (e.g., United States, Canada, Australia, India and China) an "area" will be a province, a state or a territory as defined in the contract. An exclusive for an area will be awarded only on the basis of a demonstrated ability to perform, as measured by the actual purchase of the US dollar equivalent of one 20 foot container of dry AgroStim TM and/or other AgroSource TM product per year, and the sale of the US dollar equivalent of another 20 foot container of product will extend that exclusive contract into the next year. If not timely extended, the exclusive will automatically expire. No exclusive agreement will be granted prior to the first completed sale of the US dollar equivalent of one 20 foot container of product. Pacific Ecotech reserves the right to require annual increases in sales in order for a party to retain an exclusive. In the context of granting exclusives or other rights based upon the purchase of a container of product, it is to be understood that the purchase must be made at one time so that the product can be manufactured at one time. No rights will be granted for purchases of less than one full container of product, even if the sum of those smaller purchases is one or more containers. Pricing: Pacific Ecotech sells worldwide at fixed prices and encourage distributors to retail its products at prices that will discourage transshipments and gray market activity. Where a party has an exclusive for a particular area, Pacific Ecotech will not knowingly sell or ship into that area except through the holder of the exclusive. Product prices may vary from time to time. To each contract will be appended a time an date stamped price list which will guarantee prices for one year. Samples: Pacific Ecotech sells all samples at the current prices plus shipping costs and in the minimum amounts noted on our Price List. Manufacturing Overseas: Pacific Ecotech will contemplate partial-transfers of technology and the possibility of a mixing the product overseas only after a market has been demonstrated for the area in question by the actual sales of product in an amount greater than that necessary to establish an exclusive. This will be decided on a case-by-case basis and only after a long-term working relationship with the party has been established. In no case will the formulas or other proprietary information be transferred. Payment: In every case, 50% of the purchase price must accompany the purchase order; the remaining 50% of the purchase price is to be paid with consignment of the product to the first carrier. Shipping: Pacific Ecotech sells on ex works. If a buyer want Pacific Ecotech to shop the shipping, Pacific Ecotech will assist - but only after the buyer has submitted a purchase order with 50% of the purchase price. Although, we do not charge to help arrange shipping, in most cases a buyer will get better shipping rates by making his own arrangements. Packing: In container size lots, AgroStim is shipped in 40 or 50 pound three layered polly-lined bags (paper/plastic/paper). For orders under container sizes, at the seller's option, AgroStim may be shipped in 40 or 50 pound cardboard boxes with a plastic liner. All AgriSource products are provided ex-works to buyers.
